Only the Company’s representatives are authorised to enter into this arrangement and no other have authority to bind the Company by any representation. Work is to be carried out during normal working hours (09.00-17.00 hours) unless otherwise stated.
1. General (a) ‘The Company’ shall mean Prelude Alarm Company Ltd.(b) ‘The Goods’ shall mean equipment, supplies or software which are subject to the contract.(c) ‘The Customer’ shall mean the person or company who contracts to purchase in full or in part the goods from the Company. Any contract entered into by the Company for the supply of goods is subject to these conditions and no variations of these conditions will be allowed unless it is previously agreed by a director of the Company. 2. Delivery The Company will endeavour to meet specified delivery dates. However, such dates are not guaranteed and the Company shall not be liable for delay in delivery from any cause whatsoever.Where goods are ready for delivery the Company may postpone delivery at the request of the Customer provided that the customer makes payment as if goods were delivered. 3. Guarantee The Company guarantees the Goods for the period of months stated from the date of delivery inasmuch as any defect which arises in course of proper use during this time will be adjusted or repaired free of charge whether for labour or parts provided that all adjustments or repairs are made by the Company.This guarantee is limited only to the Customer and is not transferable. The Company shall with prejudice to the foregoing be liable only for the physical repair of the equipment and shall not extend to any other consequences.
4. Terms of Payment Payment of the Contract price and any delivery or other charges shall be paid unless specified within 30 days or earlier of the Company’s invoice or any other claim for payment.In the event of the customer failing to make any payment within the above period, the Company shall, without prejudice to any other right of remedy available to it, be entitled to suspend or cancel this contract and/or any other contract then subsisting between the Company and the Customer. 5. Reservation of Title of Goods Supplied (a) The Goods shall remain the property of the Company until the Customer has paid all the amounts owed to the Company. The risk in goods will pass to the Customer upon delivery whereupon the Customer shall insure the goods to their full value against all reasonable risk. The Company shall not be liable in any manner whatsoever whether in contract, tort, misrepresentation or otherwise beyond the terms of the above guarantee and in particular shall not be liable for any indirect or consequential loss, damage, expense or injury howsoever or by whomsoever caused which may arise out of or in connection with the supply of goods to or to the order of the purchaser and without prejudice to the generality of the foregoing the Company shall not liable for any direct, indirect or consequential loss, damage or expense or injury to the third parties incurred to the purchaser in consequence of the supply of goods. 6. New Business Clients A pro-forma invoice is subject to not previously doing business with Prelude Alarm Co Limited. This is normally 50% of the total Contract Value or full order if contract value under £1000; we would ask that this be paid in full prior to work commencement.
